The Position:
Monitor legislative and
regulatory developments in the securities industry for internal alert systems.
Conduct legal research on issues pertaining to securities laws and practice, for
example, status of pending legislation, Securities and Exchange Commission (SEC)
rulemaking, no-action letter precedents, etc. Research SEC public company
filings such as registration statements for transactional precedents and
periodic filings such as annual reports for disclosure precedents.
Research, cite-check and proofread chapters of U.S. Regulation of the
International Securities and Derivatives Markets, a treatise authored by members
of the firm. Maintain, categorize and update Capital Markets internal
practice site. Maintain a precedent file on securities and Sarbanes Oxley
matters and respective forms files. Monitor upcoming securities law
conferences featuring appearances by government officials. Coordinate and
prepare for monthly Capital Markets and Governance Group lunches.
Occasional overtime.
Requirements: MLS
preferred, BA/BS required plus 3 years minimum legal and business research in
law firm or related corporate environment. Knowledge of Securities Laws
(Securities Act, Exchange Act) and Sarbanes Oxley Act preferred.
Proficient in Lexis, Westlaw, securities research for SEC filings, Internet
research and Word. Excellent writing and verbal skills. Detail
orientation for cite checking and proofreading responsibilities. Able to work
independently as well as with a team of information specialists as part of the
overall firm knowledge management group.
